Terms and Conditions

These Terms and Conditions ("Agreement") govern the use of services provided by IMEX ("IMEX", "the Company", "we", "our", or "us"), a freight forwarding, sourcing, procurement, logistics, and brokerage company. By creating an account, accessing our website, or using any of our services, you ("Customer", "User", "Client", or "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.
1. Acceptance of Terms
By registering for an account, submitting a shipment, requesting sourcing or brokerage services, or otherwise using any IMEX service, you agree to comply with and be bound by this Agreement. If you do not agree with these Terms and Conditions, you must not use our services.
2. Privacy and Customer Information
IMEX respects the privacy of its customers and is committed to protecting personal information.
We do not sell, rent, or share customer information with third-party websites for marketing purposes. Customer information is collected and used solely for the provision of our services, legal compliance, operational requirements, and customer support.
IMEX may disclose information where required by law, court order, government authority, customs authority, law enforcement agency, or regulatory body.
3. Package Inspection and Compliance
All packages, shipments, cargo, and items received by IMEX are subject to inspection.
Customers acknowledge and agree that:
- IMEX may open and inspect any package received or handled by the Company.
- Packages may be inspected by customs authorities, border control agencies, security agencies, law enforcement agencies, or other authorized governmental bodies.
- Customers are solely responsible for ensuring that shipped items comply with all applicable laws and regulations.
4. Restricted, Prohibited, and Hazardous Goods
IMEX reserves the right to refuse, reject, return, surrender to authorities, or dispose of any package that is determined to be:
- Restricted by law or regulation;
- Prohibited for transport or import/export;
- Hazardous, dangerous, flammable, explosive, toxic, or otherwise unsafe;
- Illicit or suspected to be connected to unlawful activities;
- Damaged or improperly packaged;
- Misdeclared or inaccurately described.
Any costs, fines, penalties, storage fees, disposal fees, or legal liabilities resulting from such shipments shall be the sole responsibility of the Customer.
5. Right to Refuse or Terminate Service
IMEX reserves the absolute right, at its sole discretion, to:
- Refuse service to any individual or business;
- Reject any shipment or transaction;
- Suspend, restrict, or terminate customer accounts;
- Discontinue services to any user who breaches these Terms and Conditions.
IMEX may close or suspend an account without prior notice and without providing an explanation where deemed necessary by the Company.
6. Insurance and Limitation of Liability
IMEX provides limited coverage for loss or damage directly caused by the negligence of IMEX employees during handling or transportation under the Company's control.
Unless additional insurance is purchased, liability shall be limited to a maximum value of US$100 per shipment.
The limited coverage does not apply to:
- Customs seizures or confiscations;
- Acts of government authorities;
- Natural disasters or force majeure events;
- Inherent defects of goods;
- Improper packaging by the sender;
- Delays in transportation;
- Consequential, incidental, or indirect damages.
Customers requiring higher coverage are responsible for purchasing additional insurance before shipment.
7. Billing and Payments
7.1 Invoices
Customers may view invoices through their account portal or by other means provided by IMEX.
7.2 Payment Terms
Payment may be required:
- In advance of services being rendered;
- Upon completion of services;
- Prior to release or delivery of goods.
7.3 Deposits
Certain sourcing, procurement, brokerage, freight, or special-order requests may require a deposit before work commences. Deposits are non-refundable unless otherwise agreed in writing.
7.4 Late Payments
All invoices must be paid on or before the stated due date.
Any outstanding balance after the due date may attract interest at the maximum rate permitted by applicable law, together with any reasonable collection costs, legal fees, and recovery expenses incurred by IMEX.
IMEX may suspend services, withhold shipments, or deny future services until all outstanding balances are paid in full.
8. Storage Fees
Customers are responsible for collecting or arranging delivery of their packages promptly.
A package shall be considered available for collection upon notification of arrival or when marked as "Ready for Pickup" or equivalent status.
Customers shall have seven (7) calendar days from such notification to collect their package without storage charges.
After seven (7) days, IMEX reserves the right to assess storage fees at rates determined by the Company.
Storage charges must be paid before release of goods.
9. Unclaimed Packages
Packages without verified ownership or packages not claimed by their rightful owner shall be held for a maximum period of ninety (90) days from the date of receipt or arrival.
After ninety (90) days:
- The Customer shall be deemed to have abandoned the package;
- The Customer forfeits all ownership rights, title, and interest in the package;
- IMEX may, at its sole discretion, dispose of, recycle, donate, destroy, auction, or sell the package.
Any proceeds recovered may be applied toward outstanding charges, storage costs, administrative expenses, or losses incurred by IMEX.
The Customer shall not be entitled to compensation for abandoned packages.
10. Customer Representations
The Customer represents and warrants that:
- All information provided to IMEX is accurate and complete;
- They are the lawful owner of the goods or are authorized to ship them;
- The shipment complies with all applicable laws and regulations;
- The goods do not contain prohibited or restricted items unless fully declared and legally permitted.
The Customer agrees to indemnify and hold harmless IMEX from any claims, losses, fines, penalties, damages, or expenses arising from a breach of these warranties.
11. Compliance with Laws
IMEX operates in accordance with the laws and regulations of all countries, territories, and jurisdictions in which it conducts business.
Customers agree to comply with all applicable laws relating to:
- Import and export controls;
- Customs regulations;
- Trade sanctions;
- Transportation and logistics requirements;
- Product safety requirements;
- Taxation and duties;
- Border security regulations.
IMEX reserves the right to cooperate fully with government authorities and law enforcement agencies where required.
12. Force Majeure
IMEX shall not be liable for delays, losses, interruptions, or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to:
- Natural disasters;
- Floods;
- Hurricanes;
- Earthquakes;
- War;
- Civil unrest;
- Labor disputes;
- Transportation disruptions;
- Government actions;
- Customs delays;
- Pandemics;
- Utility or communication failures.
13. Limitation of Liability
To the fullest extent permitted by law, IMEX's total liability for any claim arising from the use of its services shall not exceed the amount paid by the Customer for the specific service giving rise to the claim or US$100, whichever is greater, unless additional insurance was purchased.
IMEX shall not be liable for indirect, consequential, incidental, special, punitive, or exemplary damages.
14. Modifications to Terms
IMEX reserves the right to amend, update, or modify these Terms and Conditions at any time. Updated terms shall become effective upon publication on the Company's website or customer portal.
Continued use of IMEX services after such changes constitutes acceptance of the revised Terms and Conditions.
15. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the jurisdiction in which IMEX is registered and operates, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts within that jurisdiction.

17. Customs Duties, Taxes, and Government Charges
Customers acknowledge that all imports, exports, and cross-border shipments may be subject to customs duties, taxes, tariffs, brokerage fees, inspection fees, storage fees, port charges, value-added tax (VAT), general consumption tax (GCT), and other government-imposed charges.
Unless expressly stated otherwise in writing:
- All such charges are the sole responsibility of the Customer.
- Shipping, freight, sourcing, and brokerage fees charged by IMEX do not include customs duties, taxes, or government charges.
- IMEX may advance payment of duties, taxes, or fees on behalf of the Customer where necessary to facilitate clearance, and the Customer agrees to reimburse IMEX immediately upon demand.
- IMEX reserves the right to withhold release of any shipment until all outstanding duties, taxes, fees, and charges have been paid in full.
IMEX shall not be responsible for delays resulting from customs examinations, government inspections, or clearance procedures.
18. Delivery Times and Service Estimates
Any transit times, delivery dates, arrival estimates, sourcing timelines, or completion schedules provided by IMEX are estimates only and are not guaranteed.
Actual delivery or completion times may be affected by factors outside IMEX's control, including but not limited to:
- Customs processing;
- Border inspections;
- Airline, shipping line, or carrier delays;
- Port congestion;
- Weather conditions;
- Public holidays;
- Government actions;
- Security inspections;
- Transportation disruptions.
IMEX shall not be liable for losses, damages, lost profits, missed business opportunities, or other claims arising from delayed delivery or completion of services.
19. Payment Disputes, Chargebacks, and Reversals
Customers agree not to initiate chargebacks, payment reversals, or payment disputes with their bank, credit card provider, payment processor, or financial institution for services that have been rendered or goods that have been received.
In the event of a chargeback or payment reversal:
- IMEX reserves the right to suspend or terminate the Customer's account.
- IMEX may place a hold on shipments or refuse future services.
- The Customer shall remain liable for all valid charges incurred.
- The Customer shall reimburse IMEX for any chargeback fees, collection costs, legal fees, administrative expenses, and other costs incurred in recovering the disputed amount.
Nothing in this section limits IMEX's right to pursue recovery through legal action or debt collection proceedings.
20. Electronic Communications and Records
By creating an account or using IMEX services, Customers consent to receive communications electronically.
Electronic communications may include:
- Service notifications;
- Shipment updates;
- Invoices and receipts;
- Payment reminders;
- Policy updates;
- Account notices;
- Marketing communications where permitted by law.
Customers agree that electronic communications satisfy any legal requirement that communications be provided in writing.
Electronic records maintained by IMEX, including shipment records, invoices, payment confirmations, account activity logs, and communications, shall constitute admissible evidence in any dispute or proceeding.
21. Lien on Goods
To the extent permitted by applicable law, IMEX shall have a general and particular lien on all goods in its possession, custody, or control for any unpaid amounts owed by the Customer.
If any invoice or charge remains unpaid after its due date, IMEX may:
- Retain possession of the goods;
- Refuse release or delivery of goods;
- Apply storage charges;
- Sell or otherwise dispose of the goods after providing any notice required by law.
Proceeds from any sale may be applied toward outstanding balances, storage fees, collection expenses, legal fees, and other costs incurred by IMEX.
Any remaining surplus, if applicable and required by law, shall be handled in accordance with applicable legal requirements.
22. Sourcing and Procurement Services
Where IMEX acts as a sourcing, procurement, purchasing, or brokerage agent on behalf of a Customer:
- IMEX acts solely as an intermediary between the Customer and suppliers, manufacturers, distributors, vendors, or service providers.
- IMEX does not manufacture products and does not warrant the quality, suitability, merchantability, fitness for purpose, authenticity, or performance of goods supplied by third parties.
- Product specifications, descriptions, pricing, availability, and supplier information are provided based on information supplied by third parties and may change without notice.
- Customers are responsible for verifying that sourced products meet their requirements before purchase.
Unless otherwise agreed in writing, deposits paid for sourcing or procurement activities are non-refundable once sourcing activities have commenced or orders have been placed with suppliers.
23. Severability
If any provision of these Terms and Conditions is determined by a court or competent authority to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
24. Entire Agreement
These Terms and Conditions constitute the entire agreement between IMEX and the Customer regarding the use of IMEX services and supersede all prior agreements, understandings, representations, and communications, whether written or oral.
No waiver of any provision shall be effective unless made in writing by an authorized representative of IMEX.
